
SpaceX has officially completed its acquisition of Anysphere, the developer of the AI-powered coding tool Cursor, in an all-stock transaction valued at $60 billion, according to a Form 8-K filing with the U.S. Securities and Exchange Commission. The deal took effect on Friday, August 14, 2026.
Under the agreement, X67 — a SpaceX subsidiary formed for the acquisition — merged into Anysphere, which will continue operating as a wholly owned subsidiary of SpaceX. The Cursor brand will be retained.
Conversion Structure
Cursor’s common and preferred shares were converted into the right to receive approximately 389.3 million shares of SpaceX Class A stock. Vested restricted stock units were converted into an additional 1.75 million shares before tax withholdings, with fractional shares settled in cash.
SpaceX also assumed unvested incentive obligations. Unvested restricted stock units were converted into approximately 29.1 million SpaceX restricted stock units, and stock options were converted into approximately 44.4 million Class A stock options.
The conversion price was calculated based on the $60 billion implied value divided by the volume-weighted average of SpaceX’s closing share price (SPCX) over the seven trading sessions prior to closing. Additionally, the shares were issued under the registration exemption set out in Section 4(a)(2) as a transaction not involving a public offering.
Strategic Implications
The deal positions SpaceX, best known for its rocket and spaceflight programs, as a major player in the AI coding tools market. Cursor has emerged in recent years as one of the fastest-growing AI companies, and its software is now among the most widely used development tools globally. Finally, the acquisition brings together space engineering and advanced software engineering under a single corporate structure.
